TutorWorldWide.com Independent Contractor/Non Compete Agreement

THIS AGREEMENT, made this Sat, Sep 04th, 10, by and between TutorWorldWide.com and , herein referred to as "Tutor".

WHEREAS, TutorWorldWide.com is engaged in the business of contracting tutors to students, parents and schools (the "Clients")

WHEREAS, TutorWorldWide.com, Inc. maintains all qualified tutors in a Data Base ("Data Base") and

WHEREAS, Tutor desires to be included on the Data Base

NOW THEREFORE, in consideration of the recitals and mutual covenants herein contained, it is understood and agreed as follows:

TutorWorldWide.com requires all tutors be Certified by the American Tutoring Association. Once ATA Certified and approved by TutorWorldWide.com, TutorWorldWide.com agrees to put Tutor on Data Base according to the Tutor's application.

The tutor agrees he/she is responsible for planning and implementing an appropriate program of instruction for the student in the subject(s) assigned. TutorWorldWide.com will provide support and suggestions as necessary.
Tutor will be available in the capacity specifically stated in Tutor's application.
TutorFind agrees to pay tutor as a sub-contractor for tutoring sessions which are properly conducted and due.
Tutor is responsible for all taxes and insurance as required by law.
TutorFind maintains rights to all Clients Tutor receives from TutorFind for a period of three years from the initial date Client is referred.
At no time shall the Tutor receive payment from the Client for any tutoring services rendered.
Should the Tutor desire an independent relationship with the Client, the Tutor may purchase these rights from TutorWorldWide.com at a buy out cost of $1000.00 per Client.
Should the Tutor accept payment from the Client for tutoring services during the three year period specified, the Tutor will be fined according to the previous buy out clause.
The tutoragrees to provide the office of TutorWorldWide.com completed and signed daily progress reports for each meeting with each student. Progress reports and Monthly Invoices are due no later than the 5^th day of the month for all hours tutored during the month previous.
Any incomplete or late forms may result in TutorFind's holding tutor's payment until such time as all complete information is received.
To the fullest extent permitted by law, tutor shall indemnify and hold harmless TutorWorldWide.com for any liability resulting from personal injury, property damage or monetary loss arising out of or resulting from performance of the tutor's work under this subcontract.
As an independent contractor, tutor is responsible for all taxes and insurance related to services provided as required by law.
Occasionally, TutorFind will pay for all costs associated with ATA Certification. In these cases tutor agrees to give TutorFind two hours of tutoring at no charge. Once tutor has fufilled two hours of gratis tutoring, payment will begin at regular hourly rate and paid as described above.
Tutor must give TutorFind two weeks notice when terminating a client. TutorFind will then work to find a replacement.
